Terms of Service

1. General Provisions

These Terms of Service ("Terms") govern your use of the emerce platform ("Service") available at app.emerce.store, operated by BTA SYSTEMS SP. Z O.O., a company registered in Poland with Tax ID (NIP) 5862402265, REGON 52772017200000, with its registered office at Ul. Korzenna 3B/16, 81-587 Gdynia, Poland ("Operator").

2. Definitions

• Service — the emerce platform that makes an online store's catalog readable for AI shopping agents, including catalog synchronization, product enrichment, guides, feeds, discovery manifests, analytics, and all related functionalities.
• User — any natural person, legal entity, or organizational unit using the Service.
• Account — an individual user account created upon registration, providing access to the Service's features.
• Workspace — an organizational unit within the Service that groups connected stores, members, and resources under a single billing entity.
• Subscription — a paid plan providing access to premium features, billed at the Workspace level.

3. Conditions of Use

By creating an Account, the User agrees to these Terms in full. Use of the Service requires:

• Acceptance of these Terms and the Privacy Policy.
• Providing a valid email address during registration.
• Compliance with all applicable laws and regulations.
• Use of the Service only for its intended purpose — publishing and managing an online store's catalog for AI agents.

The User is responsible for maintaining the confidentiality of their Account credentials and for all activities that occur under their Account.

4. Subscriptions and Payments

The Service offers free and paid Subscription plans. Paid Subscriptions are billed at the Workspace level and processed through Stripe. By subscribing to a paid plan, the User agrees to the applicable pricing and billing terms displayed at the time of purchase.

Subscription fees are non-refundable except where required by applicable law. The Operator reserves the right to modify pricing with reasonable notice to affected Users.

5. User Content and Data

The User retains ownership of all content they create, upload, or store within the Service ("User Content"). By using the Service, the User grants the Operator a limited license to process User Content solely for the purpose of providing and improving the Service.

The User is solely responsible for their User Content and must ensure it does not violate any third-party rights or applicable laws.

6. AI Features

The Service integrates AI-powered features for product enrichment, content generation, and catalog analysis. AI-generated content is provided "as is" and the User is responsible for reviewing and validating any AI outputs before acting on them.

The Operator does not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

7. Liability

The Operator makes reasonable efforts to ensure the Service operates correctly but does not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, the Operator shall not be liable for:

• Any indirect, incidental, or consequential damages arising from the use of the Service.
• Loss of data due to circumstances beyond the Operator's reasonable control.
• Damages resulting from the User's violation of these Terms.
• Actions taken based on AI-generated content.

8. Intellectual Property

All intellectual property rights in the Service, including but not limited to its design, code, functionality, trademarks, and documentation, belong to BTA SYSTEMS SP. Z O.O. or its licensors. Users may not copy, modify, distribute, or reverse-engineer any part of the Service.

9. Account Termination

The User may delete their Account at any time through the Service's settings. The Operator may suspend or terminate an Account if the User violates these Terms or engages in conduct harmful to other Users or the Service.

Upon Account deletion, User Content will be retained for 30 days before permanent removal, in accordance with the Privacy Policy.

10. Final Provisions

The Operator reserves the right to amend these Terms at any time. Users will be notified of material changes via email or in-service notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Poland. Any disputes arising from or related to these Terms shall be resolved by the courts with jurisdiction over the Operator's registered office.
